  1. Interpretation and Definitions 1.1 Interpretation The words with capitalised initial letters have the meanings defined below. These definitions apply whether the terms appear in singular or plural. 1.2 Definitions For the purposes of these Terms of Service: Account means a registered account created by You to access and use the Service. Application means the My Plantfix ltd application or any software provided by My Plantfix ltd. Buyer means any individual, company or organisation using the Service to locate, request, purchase or obtain quotations for plant machinery repairs, servicing, maintenance, spare parts or any other Goods or Services. Company, We, Us, or Our means: My Plantfix ltd Ltd 7 Bent Lane Crowton Northwich Cheshire CW8 2RJ Company Number: 16573003 Content means any information uploaded or submitted to the Service including but not limited to text, photographs, videos, documents, drawings, specifications, quotations, reviews, comments and communications. Goods and Services means any products, repairs, maintenance services, inspections, engineering services, transport services, hire services, parts, labour or any other services or products advertised or offered through the Service. Marketplace means the My Plantfix ltd online platform connecting Buyers and Sellers. Order means any quotation request, booking, acceptance of quotation, purchase, subscription or other transaction facilitated through the Service. Seller means any business, engineer, contractor, supplier or organisation advertising or providing Goods or Services through the Service. Service means the My Plantfix ltd website, application and all related services. Subscription means any paid membership or recurring payment required to access part or all of the Marketplace. Terms means these Terms of Service. Website means www.myplantfix.com You means the individual or legal entity using the Service.

  1. About My Plantfix ltd 3.1 Marketplace Only My Plantfix ltd is an online business-to-business marketplace. Our role is strictly limited to providing a platform that allows Buyers and Sellers to connect with one another. My Plantfix ltd does not: • employ engineers; • provide repair services; • inspect machinery; • supervise repair work; • guarantee quotations; • guarantee workmanship; • provide engineering advice; • act as a contractor; • act as an agent for either party; • become a party to contracts entered into between Buyers and Sellers. Any contract for Goods or Services exists solely between the Buyer and the Seller. My Plantfix ltd is not responsible for the performance, quality, legality, safety or suitability of any Goods or Services supplied through the Marketplace.

3.2 Independent Businesses All Sellers operate as independent businesses. Nothing contained within the Service creates: • an employment relationship; • a partnership; • a joint venture; • an agency relationship; • or any other legal relationship between My Plantfix ltd and any Seller. Each Seller remains solely responsible for operating its own business.


3.3 No Guarantee Although My Plantfix ltd aims to provide a reliable Marketplace, We do not guarantee: • that Buyers will receive quotations; • that Sellers will obtain work; • that any quotation will be accepted; • that any job will be completed; • that any Goods or Services will meet a particular standard; • that the Marketplace will always be available.


3.4 Supplier Verification My Plantfix ltd may request information from Sellers including but not limited to: • company registration details; • VAT registration; • insurance certificates; • qualifications; • trade memberships; • identity documents. Providing such information does not mean the Seller has been approved, certified or endorsed by My Plantfix ltd. Where verification badges or similar indicators are displayed, these only confirm that certain information has been provided to Us. They do not constitute a guarantee regarding: • competence; • financial standing; • workmanship; • legal compliance; • insurance validity; • ongoing suitability. Buyers remain responsible for carrying out their own due diligence before entering into any agreement.


  1. Acceptance of these Terms By creating an Account or using the Service You confirm that: • You have read these Terms. • You agree to be bound by them. • You are legally capable of entering into binding contracts. • If acting on behalf of a company, You have authority to bind that company. • All information You provide is true and accurate. If You do not agree with these Terms, You must not use the Service.

  1. Governing Law These Terms shall be governed by and interpreted in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from or relating to these Terms unless applicable law provides otherwise. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Failure by My Plantfix ltd to enforce any provision shall not constitute a waiver of that provision or any other rights.

  1. User Accounts 6.1 Account Registration To access certain features of the Marketplace, You must create an Account. When registering an Account, You agree to provide information that is accurate, complete and up to date at all times. You must promptly update Your information if it changes. My Plantfix ltd reserves the right to request supporting documentation to verify the accuracy of any information supplied. Providing false or misleading information may result in immediate suspension or termination of Your Account.

6.2 Eligibility By creating an Account, You confirm that: • You are at least 18 years of age. • You have the legal capacity to enter into contracts. • If acting on behalf of a company, You have authority to bind that company. • You will comply with these Terms and all applicable laws.


6.3 Business Accounts My Plantfix ltd is intended primarily for business users. Where a Seller registers on behalf of a business, the business accepts full responsibility for all activity undertaken through its Account. The registered business is responsible for ensuring that its employees, contractors and representatives comply with these Terms.


6.4 Security of Your Account You are responsible for maintaining the confidentiality of Your login credentials. You must: • keep Your password secure; • not share Your Account with others; • notify Us immediately if You believe Your Account has been compromised. You remain responsible for all activity carried out through Your Account unless You have informed Us of unauthorised access.


6.5 Company Verification My Plantfix ltd may request documentation from Sellers including, but not limited to: • Certificate of Incorporation; • Company Registration Number; • VAT Registration Number; • photographic identification; • proof of address; • insurance certificates; • qualifications; • trade accreditations. Failure to provide requested documentation may prevent access to some or all Marketplace features. Verification by My Plantfix ltd does not constitute an endorsement, certification or guarantee of a Seller.


  1. Buyer Responsibilities Buyers agree to: • provide accurate information about machinery and repair requirements; • only post genuine requests for Goods or Services; • disclose known hazards affecting the work; • ensure they have authority to request the work; • provide accurate contact details; • respond honestly to quotations; • pay suppliers in accordance with agreed terms; • comply with all applicable laws. Buyers are responsible for carrying out their own assessment of any Seller before entering into a contract.

7.1 Site Safety Buyers are responsible for ensuring any site where work is to be carried out is reasonably safe. This includes: • providing safe access; • identifying known hazards; • complying with health and safety legislation; • ensuring machinery can be worked on safely; • obtaining any required permits.


7.2 Machinery Information Buyers must ensure descriptions of machinery are accurate. This includes: • manufacturer; • model; • serial number (where appropriate); • known faults; • photographs where available; • location of the machinery. My Plantfix ltd accepts no responsibility for losses arising from inaccurate information supplied by Buyers.


  1. Seller Responsibilities Sellers agree that they shall: • conduct business professionally; • comply with all applicable legislation; • provide accurate quotations; • perform work with reasonable skill and care; • maintain required qualifications; • comply with health and safety legislation; • maintain appropriate insurance; • comply with environmental legislation; • comply with VAT and taxation requirements; • maintain accurate business information; • respond honestly to Buyers.

8.1 Insurance Sellers are solely responsible for maintaining appropriate insurance. Depending upon the services provided, this may include: • Public Liability Insurance; • Employers' Liability Insurance; • Professional Indemnity Insurance; • Motor Insurance; • Product Liability Insurance. My Plantfix ltd does not verify the validity, adequacy or ongoing status of any insurance policy. Buyers should independently satisfy themselves that adequate insurance exists before instructing any Seller.


8.2 Qualifications Where qualifications, certifications or licences are legally required, Sellers warrant that they possess all necessary qualifications before advertising or carrying out work. My Plantfix ltd does not independently verify qualifications unless expressly stated.


8.3 Health & Safety Sellers remain solely responsible for: • risk assessments; • method statements; • lifting operations; • isolation procedures; • safe systems of work; • compliance with PUWER; • LOLER where applicable; • environmental obligations; • waste disposal; • employee safety. Nothing within the Marketplace transfers these responsibilities to My Plantfix ltd.


8.4 Independent Contractors All Sellers act as independent contractors. Nothing within these Terms creates: • employment; • agency; • partnership; • franchise; • joint venture between My Plantfix ltd and any Seller.

Prohibited Activities Users must not: • submit false quotations; • create fake job listings; • impersonate another individual or company; • upload malicious software; • attempt to gain unauthorised access to the Service; • interfere with the operation of the Marketplace; • manipulate reviews or ratings; • create multiple Accounts to avoid suspension; • post unlawful, offensive or fraudulent content; • advertise stolen goods; • engage in money laundering or fraudulent transactions; • breach intellectual property rights; • use automated systems to scrape Marketplace data without written permission. Any breach may result in immediate suspension or permanent removal from the Marketplace.

  1. Suspension and Termination My Plantfix ltd reserves the right to suspend, restrict or permanently terminate any Account where We reasonably believe that a user has: • breached these Terms; • provided false information; • engaged in fraudulent activity; • failed to pay Subscription fees; • received repeated justified complaints; • posed a risk to other users; • acted unlawfully. Termination may occur without prior notice where necessary to protect the Marketplace or other users. Termination does not affect any rights or obligations that arose before the Account was closed.

  1. User Content 11.1 Ownership of Content You retain ownership of any Content You upload to the Marketplace. By uploading Content, You grant My Plantfix ltd a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, publish, display, distribute and use that Content solely for the purposes of operating, improving and promoting the Marketplace. This licence continues only for as long as Your Content remains on the Service, except where retention is required by law or for legitimate business purposes.

11.2 Responsibility for Content You are solely responsible for all Content You upload. You warrant that: • the Content is accurate; • You own the Content or have permission to use it; • the Content does not infringe the rights of any third party; • the Content complies with all applicable laws. My Plantfix ltd accepts no responsibility for the accuracy, legality or reliability of user-generated Content.


11.3 Content Standards Content uploaded to the Marketplace must not: • contain false or misleading information; • infringe copyright, trademarks or other intellectual property rights; • contain offensive, abusive or discriminatory material; • contain defamatory statements; • promote illegal activity; • contain malware, viruses or malicious software; • contain spam or unsolicited advertising; • impersonate another individual or business; • disclose confidential information belonging to another party. My Plantfix ltd may remove any Content that We reasonably believe breaches these Terms.


11.4 Photographs and Documents Where photographs, engineering drawings, manuals or documents are uploaded: • You confirm You have the legal right to upload them; • You grant My Plantfix ltd permission to display them within the Marketplace; • You acknowledge that other users may view them where necessary for the operation of the Service.


11.5 Removal of Content My Plantfix ltd may edit, remove or restrict access to any Content without notice where We reasonably believe it: • breaches these Terms; • is unlawful; • creates a safety risk; • infringes another person's rights; • damages the integrity or reputation of the Marketplace. We are under no obligation to monitor all Content uploaded to the Service.


  1. Reviews and Ratings 12.1 Genuine Reviews Reviews help maintain trust within the Marketplace. Users agree that any review submitted must: • be honest; • be based upon genuine experience; • be fair and accurate; • avoid abusive language; • avoid personal attacks.

12.2 Prohibited Reviews Users must not: • submit fake reviews; • encourage others to submit misleading reviews; • offer incentives in exchange for positive reviews; • threaten negative reviews to obtain discounts or refunds; • manipulate review scores.


12.3 Review Moderation My Plantfix ltd reserves the right to remove or edit reviews where We reasonably believe they: • are false or misleading; • contain abusive language; • disclose confidential information; • breach these Terms; • expose the Company to legal liability. Removal of a review does not imply acceptance of either party's version of events.


  1. Intellectual Property All intellectual property rights relating to the Marketplace remain the property of My Plantfix ltd or its licensors. This includes, without limitation: • the My Plantfix ltd name; • logos; • branding; • software; • website design; • databases; • graphics; • source code; • text created by My Plantfix ltd. Nothing contained within these Terms transfers ownership of any intellectual property to You.

13.1 Restrictions You must not, without prior written permission: • copy the Marketplace; • reproduce website content; • reverse engineer software; • modify source code; • create derivative works; • scrape Marketplace data using automated systems; • commercially exploit any part of the Marketplace.


13.2 Copyright Infringement If You believe Your copyright has been infringed through the Marketplace, You should notify Us in writing providing: • Your name and contact details; • details of the copyrighted work; • the location of the alleged infringement; • evidence of ownership; • a statement confirming Your claim is made in good faith. My Plantfix ltd will investigate and, where appropriate, remove the disputed Content.


  1. Data and Information While My Plantfix ltd aims to provide accurate information, We do not guarantee that any information published by users is complete, current or accurate. Users should independently verify all information before relying upon it. This includes, but is not limited to: • quotations; • machinery specifications; • repair methods; • availability; • qualifications; • insurance; • certifications.

  1. Acceptable Use You agree to use the Marketplace only for lawful purposes. You must not use the Marketplace to: • commit fraud; • obtain confidential information unlawfully; • distribute malware; • interfere with the operation of the Service; • attempt unauthorised access to systems; • harass other users; • publish unlawful material; • upload content that threatens health and safety. Any breach may result in immediate suspension of Your Account.

  1. Data Backup Although My Plantfix ltd takes reasonable steps to protect user data, We do not guarantee that uploaded Content will never be lost, corrupted or deleted. Users are responsible for maintaining their own copies of: • quotations; • invoices; • photographs; • engineering reports; • manuals; • documents; • communications. My Plantfix ltd shall not be liable for losses arising from the accidental loss or corruption of uploaded Content.

  1. Orders and Contracts 17.1 Formation of Contracts My Plantfix ltd provides an online Marketplace through which Buyers and Sellers may communicate, exchange quotations and enter into agreements. Any contract entered into for the supply of Goods or Services is made solely between the Buyer and the Seller. My Plantfix ltd is not a party to that contract and accepts no responsibility for its performance.

17.2 Quotes and Estimates Unless expressly stated otherwise, all quotations submitted by Sellers are estimates only. It is the responsibility of the Buyer and Seller to agree: • the scope of work; • labour charges; • parts required; • timescales; • payment terms; • warranties; • any exclusions. My Plantfix ltd is not responsible for inaccuracies in quotations or any subsequent variations agreed between the parties.


17.3 Changes to Work During repairs it may become apparent that additional work or replacement parts are required. Any changes to the agreed scope of work must be agreed directly between the Buyer and the Seller. My Plantfix ltd is not responsible for any additional costs arising from variations to the original quotation.


17.4 Emergency Repairs Where emergency repairs are requested, Buyers acknowledge that quotations may be based on limited information and final costs may differ from the original estimate.


  1. Payments 18.1 Payments Between Buyers and Sellers Unless expressly stated otherwise through the Marketplace, payment for Goods and Services is made directly between the Buyer and the Seller. My Plantfix ltd does not guarantee payment. My Plantfix ltd is not responsible for: • unpaid invoices; • late payments; • debt recovery; • payment disputes; • bounced payments; • insolvency of Buyers or Sellers.

18.2 Payment Providers Where payments are processed through third-party payment providers, including Stripe or any replacement provider, those transactions are also governed by the provider's own terms and conditions. My Plantfix ltd is not responsible for: • payment gateway failures; • banking errors; • delays; • card issuer decisions; • declined payments.


18.3 Taxes Each Buyer and Seller is solely responsible for: • VAT; • Corporation Tax; • Income Tax; • National Insurance; • Customs Duties; • Import or Export Charges; • any other taxes arising from their business. My Plantfix ltd accepts no responsibility for calculating or paying taxes on behalf of users unless required by law.


  1. Subscriptions 19.1 Membership Certain areas of the Marketplace may require a paid Subscription. Subscription fees provide access to Marketplace features only. Payment of a Subscription does not guarantee: • work opportunities; • quotation requests; • sales; • business growth; • revenue.

19.2 Subscription Renewal Unless cancelled before renewal, Subscriptions automatically renew at the end of each billing period. The applicable Subscription fee will be charged using the payment method registered on Your Account.


19.3 Failed Payments If a Subscription payment fails, My Plantfix ltd may: • retry the payment; • suspend Marketplace access; • restrict features; • terminate the Subscription if payment remains outstanding.


19.4 Price Changes My Plantfix ltd reserves the right to change Subscription prices at any time. Reasonable notice will be given before any price increase affects existing Subscribers. Continued use of the Subscription after the effective date constitutes acceptance of the revised pricing.


19.5 Cancellation of Subscription Subscribers may cancel future renewals at any time through their Account or by contacting My Plantfix ltd. Cancellation prevents future billing but does not normally entitle the Subscriber to a refund for any unused portion of the current billing period unless required by law.


  1. Refund Policy Unless otherwise required by law: • Subscription fees are non-refundable. • Marketplace fees are non-refundable. • Completed services are non-refundable through My Plantfix ltd. Refund requests relating to Goods or Services supplied by Sellers must be resolved directly between the Buyer and Seller.

  1. Cancellations 21.1 Cancellation by Buyers Buyers may cancel work in accordance with the agreement reached with the Seller. Where costs have already been incurred, cancellation charges may apply. My Plantfix ltd is not responsible for determining cancellation charges.

21.2 Cancellation by Sellers Sellers should only cancel accepted work where genuinely necessary. Repeated cancellations may result in suspension of Marketplace privileges.


21.3 Cancellation by My Plantfix ltd My Plantfix ltd reserves the right to cancel or suspend access to the Marketplace where: • fraudulent activity is suspected; • payment cannot be processed; • legal obligations require us to do so; • continued access poses a risk to other users or the Marketplace.


  1. Disputes Between Buyers and Sellers Any dispute relating to: • workmanship; • delays; • invoices; • payment; • quality of repairs; • parts supplied; • warranties; • negligence; • contractual obligations; shall be resolved directly between the Buyer and Seller. My Plantfix ltd is not obliged to investigate, mediate or determine disputes between users. Where appropriate, My Plantfix ltd may, at its sole discretion, assist by reviewing information provided by the parties, but any involvement is voluntary and does not create legal responsibility.

  1. Warranties Any warranty relating to Goods or Services is provided solely by the Seller unless expressly stated otherwise. My Plantfix ltd provides no warranty regarding: • workmanship; • engineering advice; • replacement parts; • repair methods; • machinery performance; • suitability of Goods or Services.

  1. Marketplace Availability Whilst We aim to keep the Marketplace available at all times, We do not guarantee uninterrupted access. The Marketplace may occasionally become unavailable due to: • maintenance; • software updates; • security incidents; • internet failures; • third-party outages; • circumstances beyond Our control. My Plantfix ltd shall not be liable for losses arising from temporary interruptions to the Service.

  1. Force Majeure My Plantfix ltd shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to: • natural disasters; • flood; • fire; • war; • terrorism; • industrial disputes; • pandemics; • cyber-attacks; • utility failures; • government action; • telecommunications failures. Performance shall be suspended for the duration of the relevant event.

  1. Limitation of Liability 26.1 Marketplace Role My Plantfix ltd operates solely as an online marketplace that enables Buyers and Sellers to connect. We do not: • employ engineers; • provide repair services; • manufacture or supply machinery; • supervise repair work; • inspect completed work; • guarantee quotations; • guarantee workmanship; • guarantee parts supplied by Sellers. Accordingly, My Plantfix ltd shall not be liable for the acts or omissions of any Buyer or Seller using the Marketplace.

26.2 Maximum Liability To the fullest extent permitted by law, My Plantfix ltd's total aggregate liability arising from or relating to the Service shall not exceed the greater of: • the total fees paid by You to My Plantfix ltd during the twelve (12) months immediately preceding the event giving rise to the claim; or • £100 (one hundred pounds sterling). This limitation applies regardless of the legal basis of the claim, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise.


26.3 Excluded Losses To the fullest extent permitted by law, My Plantfix ltd shall not be liable for any: • loss of profit; • loss of revenue; • loss of contracts; • loss of business opportunity; • loss of goodwill; • loss of anticipated savings; • loss of production; • machinery downtime; • loss of data; • indirect loss; • consequential loss; • special damages; • punitive damages.


26.4 Goods and Services My Plantfix ltd accepts no responsibility for: • faulty workmanship; • defective repairs; • engineering advice; • inaccurate quotations; • delayed attendance; • failure to complete work; • incorrect parts; • machinery damage; • transport damage; • warranty claims; • negligence of Buyers or Sellers. Any claims relating to Goods or Services must be pursued directly against the relevant Buyer or Seller.


26.5 User Information Although My Plantfix ltd encourages accurate information, We do not guarantee that information provided by users is: • accurate; • complete; • current; • lawful; • suitable for Your intended purpose. Users should independently verify all important information before relying upon it.


26.6 Nothing in these Terms Nothing in these Terms excludes or limits liability that cannot legally be excluded under the laws of England and Wales, including liability for: • fraud or fraudulent misrepresentation; • death or personal injury caused by negligence; • any other liability which cannot lawfully be excluded.


  1. Indemnity You agree to indemnify and keep indemnified My Plantfix ltd, its directors, officers, employees and agents against all claims, losses, damages, costs, liabilities and expenses arising from: • Your use of the Marketplace; • Your breach of these Terms; • Your breach of applicable law; • any claim brought by another user arising from Your actions; • infringement of third-party intellectual property rights; • inaccurate information supplied by You. This indemnity shall survive termination of Your Account.

  1. Disclaimer The Marketplace is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, My Plantfix ltd makes no warranties or representations regarding: • continuous availability; • uninterrupted operation; • accuracy of Marketplace content; • reliability of Sellers; • suitability of Buyers; • success of quotations; • future business opportunities. Use of the Marketplace is entirely at Your own risk.

  1. Third-Party Services The Marketplace may integrate with or provide links to third-party services including: • Stripe; • email providers; • mapping services; • payment gateways; • identity verification providers. These services operate under their own terms and privacy policies. My Plantfix ltd accepts no responsibility for the availability, content or operation of third-party services.

  1. Privacy Your use of the Marketplace is also governed by Our Privacy Policy. By using the Service, You acknowledge that Your personal data may be processed in accordance with the Privacy Policy and applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

  1. Communications By creating an Account, You agree that My Plantfix ltd may send communications relating to: • Your Account; • Marketplace activity; • security notices; • payment confirmations; • subscription renewals; • service announcements; • legal notices. Where required by law, marketing communications will only be sent with Your consent, and You may unsubscribe from marketing emails at any time.

  1. Changes to the Marketplace My Plantfix ltd reserves the right to: • modify the Marketplace; • introduce new features; • withdraw features; • discontinue parts of the Service; • improve functionality. We may do so without liability provided that such changes are made in good faith for operational, legal or commercial reasons.

  1. Changes to these Terms My Plantfix ltd may amend these Terms from time to time. Where changes are material, We will provide reasonable notice by: • email; • notification within the Marketplace; or • publication on the Website. Your continued use of the Marketplace after revised Terms become effective constitutes acceptance of those changes.

  1. Severability If any provision of these Terms is held by a court to be unlawful, invalid or unenforceable, that provision shall be deemed severed. The remaining provisions shall remain in full force and effect.

  1. Waiver Failure by My Plantfix ltd to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right. Any waiver must be in writing.

  1. Assignment You may not assign or transfer any rights or obligations under these Terms without Our prior written consent. My Plantfix ltd may assign these Terms or any associated rights or obligations to another company in connection with a business transfer, merger or sale.

  1. Entire Agreement These Terms, together with Our Privacy Policy and any other policies expressly referred to within them, constitute the entire agreement between You and My Plantfix ltd regarding use of the Marketplace. They supersede all previous agreements, understandings and representations relating to the Service.

  1. Electronic Communications By using the Marketplace, You agree that communications from My Plantfix ltd may be provided electronically. This includes: • emails; • invoices; • payment confirmations; • subscription notices; • account notifications; • legal notices; • updates to these Terms. You agree that electronic communications satisfy any legal requirement that such communications be in writing.

  1. Electronic Acceptance By creating an Account, purchasing a Subscription, posting a listing or using any part of the Marketplace, You acknowledge that: • You have read these Terms; • You understand these Terms; • You agree to be legally bound by these Terms. Your electronic acceptance has the same legal effect as a handwritten signature.

  1. Non-Circumvention My Plantfix ltd invests significant resources in developing and maintaining the Marketplace. Users agree not to use the Marketplace for the purpose of deliberately avoiding Marketplace fees or Subscription requirements. Examples include, but are not limited to: • creating multiple accounts to avoid Subscription fees; • impersonating another business; • using false company details; • using automated systems to gain unfair advantage. Nothing in this clause prevents Buyers and Sellers from entering into lawful contracts with one another where those parties have met through the Marketplace.
